EULA - End User License Agreement

END USER LICENSE AGREEMENT

This End User License Agreement ("Agreement") is a legal agreement between you (either an individual or a single entity) and Dan Attali ("Licensor") for the use of AuthCode Genie software ("Software"). By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this Agreement.

1. License Grant

Licensor grants you a non-exclusive, non-transferable license to use the Software solely for your personal or internal business purposes, subject to the terms and conditions of this Agreement.

2. Restrictions

You may not:

a. Modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Software.

b. Rent, lease, lend, sell, redistribute, or sublicense the Software.

c. Remove any copyright, trademark, or other proprietary notices from the Software.

3. Ownership

The Software is licensed, not sold. Licensor retains all right, title, and interest in and to the Software, including all intellectual property rights therein.

4. Termination

This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically without notice from Licensor if you fail to comply with any term(s) of this Agreement. Upon termination of this Agreement, you must cease all use of the Software and destroy all copies of the Software in your possession or control.

5. Warranty Disclaimer

THE SOFTWARE IS PROVIDED "AS IS," WITHOUT WARRANTY OF ANY KIND. LICENSOR DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

6. Limitation of Liability

IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE USE OR PERFORMANCE OF THE SOFTWARE, WHETHER IN AN ACTION IN CONTRACT, TORT, OR OTHERWISE, EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

7. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of New York, without regard to its conflict of law principles.

8. Entire Agreement

This Agreement constitutes the entire agreement between you and Licensor regarding the subject matter hereof and supersedes all prior or contemporaneous agreements, understandings, and communications, whether written or oral, relating to such subject matter.
